WedBuild Terms of Service

1. Introduction
Welcome to WedBuild. These Terms of Service ("Terms") govern your access to and use of the WedBuild platform, including the website at https://app.wedbuild.com, all related applications, features, and services (collectively, the "Service"), operated by WedBuild Pty Ltd (ABN [your ABN here]), an Australian company ("WedBuild," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you and WedBuild. Please read them carefully.
2. Eligibility
To use WedBuild, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into a binding agreement
- Provide accurate and complete registration information
- Not have been previously suspended or removed from the Service
If you are using the Service on behalf of another person (e.g., as a wedding planner), you represent that you have authority to bind that person to these Terms.
3. Account Registration and Security
3.1 Creating an Account
You may create an account using an email address and password, or by signing in with Google. You agree to provide accurate, current, and complete information during registration and to keep it up to date.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately at support@wedbuild.com if you suspect unauthorised access
We are not liable for any loss or damage arising from your failure to maintain the security of your account.
3.3 One Account Per Wedding
Each WedBuild account is intended for a single wedding event. You may share access with your partner or authorised collaborators, but each wedding should have one primary account.
4. The Service
4.1 Description
WedBuild is a wedding planning platform that provides tools including:
- Guest list management and RSVP collection
- Wedding website builder with custom domains and publishing
- Seating chart creation (drag-and-drop and visual layouts)
- Budget planner with expense tracking, invoices, and payment records
- Vendor comparison and management
- Wedding checklist and task management
- Announcement and email campaign tools
- Event scheduling
- QR code generation and "Find My Seat" functionality
- AI-powered planning assistant
- Forms, questions, and guest self-entry
4.2 Availability
We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned downtime.
4.3 Modifications to the Service
We reserve the right to modify, update, or discontinue any part of the Service at any time. If we discontinue a material feature that affects your paid subscription, we will provide reasonable notice and, where appropriate, a pro-rata refund.
5. Subscription Plans and Pricing
5.1 Plans
WedBuild offers the following subscription tiers:
- Free: Core features with a guest limit of 50
- Standard: Extended features including unlimited guests, budget planner and drag-and-drop seating
- Pro: Full feature set including visual seating charts, vendor comparison, AI wedding assistant, and QR seating
Feature availability and plan limits are described on our pricing page and may be updated from time to time.
5.2 Pricing and Payment
- All prices are displayed in Australian Dollars (AUD) unless otherwise stated.
- Payment is processed securely by Stripe. By subscribing, you also agree to Stripe's Terms of Service.
- You authorise us to charge the payment method you provide for the applicable subscription fees.
- Prices are subject to change. We will notify you of any price changes at least 30 days before they take effect. Continued use after a price change constitutes acceptance of the new pricing.
5.3 Billing
- One-time plans: Standard and Pro subscriptions are available as a one-time payment that covers a fixed subscription period (currently 2 years). Your subscription remains active until the expiry date shown in your account settings.
- Monthly plans: Monthly continuation subscriptions are available to extend your access after your one-time subscription period ends. Monthly plans are billed at the start of each billing cycle and renew automatically until cancelled.
- Subscribe now, charge later: You may subscribe to a monthly plan at any time during your active one-time subscription. You will not be charged until your one-time plan expires, at which point monthly billing begins automatically.
5.4 Subscription Expiry and Account Lifecycle
When your paid subscription expires and no monthly plan is active:
- Your account enters read-only mode. You can log in and view your data but cannot create, edit, or delete content.
- Your published wedding website will be automatically unpublished (taken offline).
- Your RSVP forms will be automatically closed (guests can no longer submit responses).
- A 12-month retention period begins. During this time, you can restore full access by subscribing to a monthly plan.
- If you do not resubscribe within 12 months, your account and all associated data will be permanently deleted in accordance with our Privacy Policy.
- We will send you email notifications at key intervals throughout this process (before expiry, at expiry, and during the retention period).
5.5 Monthly Plan Cancellation
- You may cancel your monthly subscription at any time from your account settings.
- Cancellation takes effect at the end of your current billing period. You will retain access until then.
- After cancellation takes effect, your account will follow the expiry process described in Section 5.4.
5.6 Refunds
- If you are unsatisfied with a paid plan, you may request a refund within 14 days of purchase by contacting support@wedbuild.com.
- Refunds after the 14-day period are at our sole discretion.
- Refunds are processed via the original payment method and may take 5–10 business days to appear.
- Monthly subscription refunds are limited to the most recent billing cycle.
5.7 Free Plan Limitations
The free plan is subject to feature and usage limitations (e.g., a guest limit of 50). We reserve the right to modify free plan limitations at any time.
6. Your Content
6.1 Ownership
You retain full ownership of all content you upload, create, or submit through the Service ("Your Content"), including text, images, guest data, wedding details, website designs, and communications.
WedBuild does not claim any ownership rights over Your Content.
6.2 Licence to WedBuild
By uploading or creating content on WedBuild, you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable licence to use, store, copy, process, display, reproduce, modify, and create derivative works of Your Content for the following purposes:
- Service delivery: Storing, backing up, and displaying Your Content on our servers and those of our service providers; displaying Your Content on published wedding websites and public pages you choose to make available; processing Your Content to provide features (e.g., sending emails to your guest list, generating seating charts, powering AI assistant responses)
- Showcase, marketing, and templates: Using published wedding website designs, layouts, and content (with personal details such as guest names, contact information, and private data removed or anonymised) as templates for other users, promotional materials, marketing examples, portfolio showcases, social media content, and on our website
The licence for service delivery purposes terminates when you delete Your Content or your account, except where retention is required by law or as described in our Privacy Policy. The licence for showcase, marketing, and template purposes survives account deletion and termination of your subscription, as these uses rely on anonymised or non-personal creative content.
You may opt out of the marketing and template licence at any time by contacting us at support@wedbuild.com. Upon receiving your opt-out request, we will cease using Your Content for marketing and template purposes within 30 days, though existing templates already in use by other users may remain available.
6.3 Content Responsibilities
You are solely responsible for Your Content. You represent and warrant that:
- You own or have the necessary rights, licences, and permissions to use and share Your Content
- Your Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party
- Your Content does not contain unlawful, defamatory, obscene, or otherwise objectionable material
- Any guest information you collect has been obtained with appropriate consent or legal basis
6.4 Published Wedding Websites
When you publish a wedding website, the content becomes publicly accessible to anyone with the URL. You are responsible for the content you choose to publish. WedBuild does not review or moderate published wedding websites but reserves the right to remove content that violates these Terms.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload or distribute malware, viruses, or other harmful code
- Send unsolicited bulk communications (spam) to your guests or any third party
- Collect guest information for purposes unrelated to your wedding (e.g., commercial marketing, data harvesting)
- Attempt to gain unauthorised access to the Service, other accounts, or our systems
- Interfere with or disrupt the Service or its infrastructure
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to create a competing product
- Impersonate any person or entity
- Use automated scripts, bots, or scrapers to access the Service without our prior written consent
- Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Use the AI features to generate content that is harmful, misleading, or violates any law
We reserve the right to suspend or terminate your account for violations of this Section without prior notice.
8. Intellectual Property
8.1 WedBuild IP
The Service, including its design, code, features, branding, logos, documentation, and all underlying technology, is the property of WedBuild Pty Ltd and is protected by Australian and international copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or create derivative works based on any part of the Service without our prior written consent.
8.2 Feedback
If you provide us with suggestions, ideas, or feedback about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose without compensation or attribution to you.
8.3 Templates
Wedding website templates, announcement designs, and other creative assets provided by WedBuild are licensed to you for use within the Service only. You may not extract, redistribute, or sell these assets outside of WedBuild.
9. Third-Party Services
9.1 Integrations
The Service integrates with third-party services including Stripe (payments), SendGrid (email delivery), Google (authentication, maps, fonts), OpenAI (AI features), Sentry (error monitoring), and PostHog (analytics). Your use of these third-party services is subject to their respective terms and privacy policies.
9.2 Links
The Service or published wedding websites may contain links to third-party websites. We do not control and are not responsible for the content, practices, or availability of third-party websites.
9.3 No Endorsement
The inclusion of any third-party service or link does not constitute an endorsement or recommendation by WedBuild.
10. AI Features
10.1 Availability
AI features (help assistant and wedding planning assistant) are provided as a convenience and are subject to availability. The AI assistant is powered by third-party AI models (OpenAI).
10.2 Accuracy
AI-generated content is provided for informational and planning purposes only. It may contain errors, inaccuracies, or outdated information. You should not rely on AI-generated content as professional, legal, financial, or medical advice. You are responsible for reviewing and verifying any AI-generated suggestions before acting on them.
10.3 Usage Limits
AI features are subject to rate limits (currently 50 requests per hour and 200 per day per user). These limits may change at any time.
10.4 Data Processing
When you use AI features, relevant wedding data is sent to OpenAI for processing. See our Privacy Policy for details on how this data is handled.
11. Email and Communication Features
11.1 Your Responsibility
When you use WedBuild to send emails, announcements, or SMS to your guests, you are the sender. You are responsible for:
- Ensuring you have the consent of recipients to contact them
- The content of all communications you send
- Complying with applicable anti-spam laws, including the Australian Spam Act 2003 (Cth), the US CAN-SPAM Act, and the EU ePrivacy Directive
11.2 Prohibited Uses
You must not use WedBuild's communication features to:
- Send unsolicited commercial messages
- Send deceptive, fraudulent, or misleading communications
- Distribute malware or phishing attempts
- Send communications to purchased or harvested email lists
11.3 Email Tracking
WedBuild provides open and click tracking for emails and announcements you send. This tracking is performed on your behalf using SendGrid. You are responsible for informing your recipients about this tracking where required by applicable law.
11.4 Delivery
We use commercially reasonable efforts to deliver emails but cannot guarantee delivery, as it depends on recipient email providers, spam filters, and other factors beyond our control.
12. Data and Privacy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which forms part of these Terms.
By using the Service, you acknowledge and agree to the data practices described in the Privacy Policy.
13. Disclaimers
13.1 "As Is" Basis
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2 No Guarantees
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Any defects will be corrected
- The results obtained from the Service will be accurate or reliable
- The Service will meet your specific requirements
13.3 Wedding Planning
WedBuild is a planning tool, not a wedding coordinator, legal advisor, or financial advisor. We are not responsible for the outcome of your wedding, vendor relationships, budget decisions, or any other real-world consequences arising from your use of the Service.
14. Limitation of Liability
14.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEDBUILD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your use of or inability to use the Service
- Unauthorised access to or alteration of your data
- Any third-party conduct on the Service
- Any content obtained from the Service
- Any interruption or cessation of the Service
14.2 Cap on Liability
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The amount you paid to WedBuild in the 12 months preceding the claim, or
- One hundred Australian dollars (AUD $100)
14.3 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement. If the Australian Consumer Law applies to you as a consumer, and WedBuild cannot exclude liability, our liability is limited to (at our option): supplying the services again, or paying the cost of having the services supplied again.
14.4 EU/UK Users
If you are a consumer in the EEA or UK, nothing in these Terms affects your statutory rights under applicable consumer protection legislation, including the Consumer Rights Act 2015 (UK) or the Consumer Rights Directive (EU).
15. Indemnification
You agree to indemnify, defend, and hold harmless WedBuild Pty Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service
- Your Content
- Your violation of these Terms
- Your violation of any law or the rights of any third party
- Guest data you collect, use, or disclose through the Service
This indemnification obligation does not apply to the extent that a claim arises from WedBuild's own negligence or wilful misconduct.
16. Termination
16.1 By You
You may stop using the Service at any time. You may delete your account by contacting support@wedbuild.com. Upon account deletion:
- Your data will be deleted in accordance with our Privacy Policy
- Published wedding websites will be taken offline
- Active subscriptions will not be refunded except as provided in Section 5.6
16.2 By WedBuild
We may suspend or terminate your access to the Service at any time if:
- You breach these Terms
- Your use of the Service poses a security risk or may harm other users
- We are required to do so by law
- We discontinue the Service
Where possible, we will provide reasonable notice before termination and an opportunity to export your data. In cases of serious breach or legal requirement, we may terminate immediately without notice.
16.3 Survival
The following sections survive termination: Section 6.2 (Licence), Section 7 (Acceptable Use), Section 8 (Intellectual Property), Section 13 (Disclaimers), Section 14 (Limitation of Liability), Section 15 (Indemnification), Section 17 (Governing Law), and Section 18 (Dispute Resolution).
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of South Australia, Australia, without regard to its conflict of law provisions.
Subject to Section 18, the courts of South Australia shall have non-exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
For users in the European Union or United Kingdom, nothing in this section deprives you of the protection of mandatory provisions of the law of your country of residence or your right to bring proceedings in the courts of your country of residence.
For users in California, USA, nothing in this section limits your rights under the CCPA/CPRA or your ability to bring claims in your local jurisdiction where required by law.
18. Dispute Resolution
18.1 Informal Resolution
Before initiating formal proceedings, you agree to first contact us at support@wedbuild.com to attempt to resolve the dispute informally. We will endeavour to respond within 14 days and to resolve the matter within 30 days.
18.2 Mediation
If informal resolution is unsuccessful, either party may refer the dispute to mediation administered by the Resolution Institute in Adelaide, South Australia, in accordance with their mediation rules. The costs of mediation shall be shared equally.
18.3 Court Proceedings
If mediation is unsuccessful, either party may commence court proceedings in the courts of South Australia, subject to any mandatory jurisdictional rights you may have under the laws of your country of residence.
18.4 Small Claims
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief, or from filing a claim in a small claims court of competent jurisdiction.
19. General Provisions
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and WedBuild regarding the Service and supersede all prior agreements and understandings.
19.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
19.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver is only effective if made in writing and signed by WedBuild.
19.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
19.5 Force Majeure
WedBuild shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, war, terrorism, pandemics, strikes, government actions, power failures, or internet or telecommunications failures.
19.6 Notices
We may send notices to you via the email address associated with your account or by prominent display within the Service. You may send notices to us at support@wedbuild.com.
19.7 No Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and WedBuild.
20. Changes to These Terms
We may update these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you by email or prominent notice within the Service.
Your continued use of the Service after the updated Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the Service.
